Your User Agreement

Welcome to Lunchdrop Canada Inc. ("Lunchdrop"). This User Agreement governs consumer access to and use of Lunchdrop's Canadian websites, applications, ordering tools, delivery services, and related services (collectively, the "Services"). If you use the Services in Canada, you are contracting with Lunchdrop Canada Inc. at the address listed in section 17.

By creating an account, placing an order, or otherwise using the Services, you agree to this User Agreement. Electronic acceptance has the same effect as a handwritten signature where permitted by applicable law. Lunchdrop's Canadian Privacy Policy describes how Lunchdrop handles personal information and is available through the Privacy Policy link on the Site.

Separate written agreements apply to restaurants, drivers and delivery service providers, corporate clients, and other business partners in those capacities. If you are subject to such an agreement, it governs that relationship and prevails over this User Agreement to the extent of a conflict. This User Agreement continues to apply to your personal consumer use of the Services.

Lunchdrop may update this User Agreement prospectively. Lunchdrop will post the updated agreement and update the date above and, where required by law or where a change is material, provide additional notice or request a new acceptance. Changes do not retroactively alter an order already accepted by Lunchdrop. If you do not agree to an updated agreement, you must stop using the Services.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to make a purchase. If you use the Services for an organization, you represent that you have authority to act for that organization. You must provide accurate, current information and keep your login credentials confidential. Notify Lunchdrop promptly at support@lunchdrop.com if you believe your account has been accessed without authorization.

2. Services and Account Administration

Service availability depends on location, restaurant capacity, delivery capacity, operating hours, and other operational conditions. Lunchdrop may modify, suspend, or discontinue all or part of the Services prospectively and may restrict or close an account for non-payment, fraud, unlawful activity, material breach of this User Agreement, risk to other users, or misuse of the Services. Where reasonably practicable, Lunchdrop will provide notice. Account closure does not affect rights or obligations arising from previously accepted orders.

3. Orders, Prices, and Acceptance

Before you submit an order, checkout will show the selected items, itemized prices, mandatory fees, estimated or applicable taxes, delivery or pickup details, and the total amount then payable. You will have an opportunity to review and correct your order immediately before submitting it. Unless expressly stated otherwise, amounts shown for Canadian Services are in Canadian dollars (CAD).

Submitting an order is an offer to purchase. An automated message acknowledging receipt is not necessarily an acceptance. Lunchdrop accepts an order when it sends a message expressly confirming acceptance or begins fulfillment, whichever occurs first. Acceptance remains subject to restaurant and item availability. Lunchdrop will provide a confirmation or receipt in a form that can be retained where required by law.

You authorize Lunchdrop and its payment processors to charge the selected payment method up to the total amount authorized at checkout. If a genuine pricing, menu, or tax-calculation error is discovered, Lunchdrop may correct an amount downward or cancel the affected item or order and issue any required refund. Lunchdrop will not increase the authorized total without notice and your agreement, except where expressly permitted by applicable law.

4. Cancellations, Problems, and Refunds

You may cancel an order before its displayed cutoff time without charge. After the cutoff time, Lunchdrop may decline a discretionary cancellation because preparation or delivery may have begun. Contact Lunchdrop promptly about a missing, incorrect, unavailable, unsafe, or materially deficient item or service. Lunchdrop will provide any cancellation or refund required by law and may otherwise provide an appropriate replacement, refund, or credit after reviewing the circumstances. This section does not limit a cancellation, refund, chargeback, warranty, or other remedy available under applicable consumer-protection law.

5. Referral Programs and Promotional Credits

Lunchdrop may offer referral programs, promotional codes, credits, free meals, or discounts. The material eligibility rules, expiry date, limits, exclusions, and redemption conditions will be disclosed with the applicable offer. Unless the offer says otherwise, promotions are for personal, non-commercial use within one workplace and do not apply to taxes or separately disclosed fees.

You may not distribute referral codes through misleading, deceptive, automated, bulk, or unsolicited communications or use a promotion fraudulently. Lunchdrop may suspend or revoke a benefit obtained through fraud, material error, or a violation of the disclosed promotion terms. Lunchdrop may change or discontinue a promotion prospectively, but will not revoke a properly earned benefit retroactively except as disclosed in the offer or permitted by law.

6. Restaurants, Fees, and Taxes

For food items, the restaurant identified with the item is the seller of record and is responsible for applicable tax on the full price of those items. Lunchdrop supplies and is responsible for tax on its own separately identified charges. Checkout or the receipt will identify another supplier where the transaction structure differs. Tax shown before submission may be an estimate and may be corrected to reflect applicable law, subject to the payment authorization in section 3. Lunchdrop will not describe a Lunchdrop-imposed fee as a government-imposed tax.

A mandatory fixed fee imposed by Lunchdrop will be included in an advertised total or disclosed with the price as required by applicable law. The order-specific prices, taxes, fees, and total shown at checkout form part of the agreement for that order.

7. Food and Delivery Information

Restaurants are responsible for preparing food and for the menu, ingredient, dietary, and allergen information they provide. Menu availability and ingredients can change, and Lunchdrop does not independently verify every restaurant statement. If you have an allergy or dietary requirement, contact the restaurant or Lunchdrop support before ordering and use appropriate caution. Lunchdrop or a third-party delivery provider may perform delivery services.

Nothing in this section excludes responsibility that Lunchdrop, a restaurant, or a delivery provider has under applicable food-safety, consumer-protection, negligence, product-liability, or other law.

8. Acceptable Use

You may not use the Services to break the law, infringe another person's rights, interfere with the security or operation of the Services, access data or accounts without authorization, transmit malicious code, harvest personal information without authority, send spam, manipulate billing or promotions, resell Services without permission, or engage in fraudulent, threatening, discriminatory, or abusive conduct.

9. Intellectual Property and User Content

The text, software, graphics, images, logos, trademarks, and other content made available through the Services are owned by Lunchdrop or its licensors and are protected by Canadian and other applicable intellectual-property laws. Lunchdrop grants you a limited, revocable, non-transferable right to access and use the Services for their intended personal or internal business purpose. You may not copy, modify, sell, distribute, publicly display, reverse engineer, or commercially exploit Lunchdrop content except as permitted by law or with written permission.

If you submit feedback, a review, photograph, comment, or other content for publication through the Services, you retain your ownership but grant Lunchdrop a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display, and distribute it for operating, improving, and promoting the Services. You represent that you have the rights needed to provide that licence. This licence ends when the content is deleted from Lunchdrop's active systems, except for reasonable backup, legal, and previously authorized uses.

10. Privacy and Electronic Communications

Lunchdrop handles personal information in accordance with its Canadian Privacy Policy and applicable Canadian privacy law. Transactional communications about your account or orders are part of providing the Services. Lunchdrop sends commercial electronic messages only with consent or other authority permitted by law, includes required sender information and an unsubscribe mechanism, and actions unsubscribe requests without delay and no later than 10 business days.

11. Consumer Rights and Service Standards

The Services come with protections that cannot be excluded under applicable consumer-protection law, including any applicable warranty that services be of a reasonably acceptable quality. Nothing in this User Agreement waives a substantive or procedural right or remedy that cannot lawfully be waived. If a provision conflicts with a mandatory consumer-protection requirement, that requirement controls.

12. Disclaimers and Limitation of Liability

Except for warranties and conditions that cannot be excluded by law, the Services and Site content are provided on an "as available" basis. Lunchdrop does not guarantee uninterrupted access or that every restaurant-provided menu description will always be current.

To the maximum extent permitted by law, Lunchdrop is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from the Services, even if advised that such loss was possible. To the maximum extent permitted by law, Lunchdrop's total aggregate liability arising from the Services or this User Agreement is capped at the greater of CAD $100 or the fees actually retained by Lunchdrop in connection with the customer's use of the Services during the preceding 12 months.

These exclusions and limits do not apply to fraud or wilful misconduct by Lunchdrop, death or personal injury caused by Lunchdrop's negligence, or any warranty, remedy, or other liability that cannot lawfully be excluded or limited. Some provinces and territories do not permit certain exclusions or limitations, so some of the above may not apply to you.

13. Business-User Responsibility

If you use the Services for an organization or commercial purpose, you will indemnify and hold Lunchdrop harmless from a third-party claim and reasonable resulting costs to the extent caused by your unlawful use of the Services, infringement of another person's rights, or material breach of this User Agreement. This section does not apply to personal consumer use and does not make you responsible for Lunchdrop's own acts or omissions.

14. Governing Law and Disputes

This User Agreement is governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without depriving you of mandatory protections under the law of another Canadian province or territory that applies to you. Subject to those protections, disputes may be brought in the courts of Ontario, including the Small Claims Court where applicable.

Nothing in this User Agreement prevents you from making a complaint to a regulator, pursuing a remedy available under consumer-protection legislation, or participating in a class proceeding where permitted by law. After a dispute arises, you and Lunchdrop may mutually agree in writing to mediation or arbitration. No contractual term shortens a limitation period provided by applicable law.

15. General and Order of Priority

If any provision is unlawful or unenforceable, it will be enforced to the maximum extent permitted or severed, and the remaining provisions will continue in effect. A delay in enforcing a provision is not a waiver. Lunchdrop may assign this User Agreement as part of a merger, reorganization, financing, or sale of all or part of its business, subject to applicable law. You may not assign it without Lunchdrop's consent.

Lunchdrop is not responsible for delay or failure caused by an event beyond its reasonable control, but this does not excuse a refund, cancellation right, or other obligation that applicable law does not permit Lunchdrop to exclude. This User Agreement, the Canadian Privacy Policy, and the order-specific terms shown at checkout constitute the agreement concerning consumer use of the Services. Promotion terms apply to those programs. If documents conflict, an order-specific term controls only for that order, a promotion term controls only for that program, and this User Agreement otherwise controls.

16. Human Rights

Lunchdrop is committed to providing services without discrimination or harassment contrary to the Ontario Human Rights Code and other applicable human-rights law. Users and service providers must not engage in discriminatory, harassing, threatening, or abusive conduct through the Services.
